Login information and Your Account
During the Account creation process, you will be required to select a password (“Login Information”). You shall not share the Account or the Login Information, nor let anyone else access your Account or do anything else that might jeopardize the security of your Account. In the event you become aware of or reasonably suspect any breach of security, including without limitation any loss, theft, or unauthorized disclosure of the Login Information, you must immediately notify the Administrator of this site and modify your Login Information. You are solely responsible for maintaining the confidentiality of the Login Information, and you will be responsible for all uses of the Login Information, including purchases, whether or not authorized by you. You are responsible for anything that happens through your Account.
MaxqSoft reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to claims by a third party that a username violates the third party’s rights.
User Content
“User Content” means any communications, images, videos, and all the material, data, and information that you upload or transmit through this Service, or that other users upload. By submitting any User Content while using the Service, you affirm, represent and warrant that such submission is (a) accurate and not confidential; (b) not in violation of any laws, contractual restrictions or other third party rights, and that you have permission from any third party whose personal information or intellectual property is comprised in the User Content; (c) free of viruses, adware, spyware, worms or other malicious code; and (d) you acknowledge and agree that any of your personal information within such content will at all times be processed by MaxqSoft in accordance with its Privacy Policy. MaxqSoft reserves the right in its sole discretion to review, monitor, prohibit, edit, delete, disable access to or otherwise make unavailable any User Content (including without limitation your User Content) without notice for any reason or for no reason at any time.
Responsible For Your Own Content
You are solely responsible for the information that you post on, through or in connection with the Service and that you provide to others. MaxqSoft may reject, refuse to post or delete any User Content for any or no reason, including, but not limited to, User Content that in the sole judgment of Maxqsoft violates these Terms of Service.
Privacy Statement
Registration Data and certain other personal information about you is subject to our Privacy Statement. For more information, please see our Privacy Statement. By submitting your personal information you signify your agreement to the Privacy Statement which may be amended from time to time. You agree that MaxqSoft has the right, but not the obligation, to monitor the MaxqSoft Sites and the Services electronically from time to time.
You acknowledge and agree that where you are required to set up a Member Account (for example, to comment on a story), if you choose to do so using personal information provided by a third party website or application such as Youtube this paragraph constitutes prior written notice to you of, and your consent to, the collection and use of your personal information by MaxqSoft for the purposes of setting up the Member Account.
You acknowledge that in the event that a third party service provider is located in United States or another foreign country, your personal information may be processed and stored in the United States or such other foreign country, and the governments, courts or law enforcement or regulatory agencies of that country may be able to obtain disclosure of your personal information through the laws of the foreign country. Whenever we engage a third party service provider to do work for us, we confirm that its privacy and security standards meet our requirements. You acknowledge and agree that this paragraph constitutes prior written notice to you of, and your consent to the collection, use and disclosure of your personal information as described above.
Termination
You agree that MaxqSoft, in its sole discretion, may suspend or terminate your Member Account and remove and discard any User Content within the Service at its convenience, or for any reason, including, without limitation, for lack of use or if MaxqSoft believes that you have violated or acted inconsistently with the letter or spirit of the Terms and Conditions. MaxqSoft may also in its sole discretion and at any time discontinue providing the MaxqSoft Sites or Services, or any parts of the MaxqSoft Sites or Services, including Paid Services, with or without notice. You agree that any suspension and/or termination of your access to the MaxqSoft Sites or Services may be effected without prior notice, and acknowledge and agree that MaxqSoft may immediately deactivate or delete your Member Account and all related information and files in your Member Account (including any Registration Data) and/or bar any further access to such files or the Services. You further agree that MaxqSoft shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with a MaxqSoft Site or any of the Services or with any terms, conditions, rules, policies, guidelines, or practices of MaxqSoft in operating a MaxqSoft Site or any of the Services, your sole and exclusive remedy is to discontinue using the MaxqSoft Site or Services in question. If you wish to delete your Member Account, please contact us by email or any contact information provided and the Administrator would remove your account for you.
Indemnity
You agree to defend, indemnify and hold harmless each of MaxqSoft, its affiliates and licensors and each of their respective employees and agents, including all third parties mentioned on a MaxqSoft Site, from and against any and all claims, actions or demands, including without limitation reasonable legal and accounting fees, resulting from or related to: (a) your breach of any of these Terms and Conditions (including any Terms and Conditions incorporated by reference) or your Paid Services Agreement; (b) your access to or use of a MaxqSoft Site, Services or Content; or (c) your use or reliance on, or publication, communication or distribution of anything on or from a MaxqSoft Site or through any of the Services. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
Age Requirement: You must be at least 13 years old to use the MaxqSoft Service or this site. If you are at least 13, but are still a minor (this depends on where you live), you must have your parent or legal guardian's permission to use this Service. Please have him or her read this Agreement with you.
Notice To Guardians or Parents: By allowing your child permission to use the maxqSoft Service, you agree to the terms of this Agreement on behalf of your child. You are responsible for monitoring and supervising your child's use of the MaxqSoft Service. If your child is using the MaxqSoft Service and is either under 13 or does not have your permission, please contact us immediately so that we can disable his or her access.
Warning: Maxqsoft endeavors to monitor in order to prevent and remove any "R-rated" material, nudity, profanity, and mature subject matter. If you are old enough or have parent’s permission to use MaxqSoft Service it is possible that MaxqSoft could fail to remove all mature subject. If you are under 18, do not view such content.
Cancelation and Refunds: Users who purchase monthly subscriptions have five (5) days after purchase to cancel and receive a full refund. Users who purchase annual subscriptions have thirty (30) days after their purchase to cancel and receive a full refund. After the cancelation period ends, all purchases are final and all fees paid are non-refundable, even if your account is later terminated by MaxqSoft. If your account is terminated due to your breach of this Agreement during the relevant cancelation period, you will not be refunded. If you have questions, please contact us.
Force Majeure
MaxqSoft shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of MaxqSoft, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond MaxqSoft’s control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
